Welcome to BusyUp! These Terms of Service ("Terms") govern your access to and use of the website located at busyup.com (the "Site" or "Platform") and the services, applications, APIs, and features provided by BusyUp (collectively, the "Services"). The Services are owned and operated by Infodoor (located at infodoor.ca) (hereinafter referred to as "we," "us," "our," or "Infodoor").

Please read these Terms carefully before using our Services. By registering an account, purchasing subscriptions or credits, or accessing any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

BusyUp provides an AI-powered SEO, content creation, brand voice customization, and video marketing orchestration platform. Users can generate marketing copy, blog posts, newsletters, social media threads, and structured video campaigns (using visual assets, script outlines, and camera motion settings) utilizing Google Generative AI (Gemini API) and internal content processing systems.

2. Eligibility and Accounts

A. Eligibility You must be at least 18 years of age to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

B. Account Security To access most features of our Services, you must register for an account using secure authentication (we use Firebase Authentication). You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at admin@busyup.com if you suspect any unauthorized access to or use of your account.

3. Pricing, Subscriptions, and Credits

A. Billing and Payment We offer subscription plans (e.g., monthly/yearly plans) and one-time credit/token bundles to access generative AI services and render video pipelines. All payments are processed securely through our third-party payment processor, Stripe. By initiating a purchase, you agree to Stripe’s terms and authorize us to charge the selected payment method for the recurring subscription fee or credit bundle price, plus any applicable taxes.

B. Subscriptions and Automatic Renewal * Renewal: Subscription plans automatically renew at the end of each billing cycle (e.g., monthly) unless you cancel your subscription before the renewal date. * Cancellation: You can cancel your subscription at any time by logging into your account and accessing the Stripe Customer Billing Portal, or by contacting us at admin@busyup.com. Cancellation will prevent future renewals, but you will retain access to subscription benefits until the end of your current billing period.

C. Credit System and Expiration * Our Services utilize a virtual "credits" system to limit and manage generative model operations and rendering pipelines. * Credits have no cash value, are non-transferable, and cannot be redeemed for legal currency. * Refund Policy: All purchases of subscriptions and one-time credit bundles are final and non-refundable, except as required by law or as expressly agreed to by Infodoor in writing.

4. User Content and AI-Generated Outputs

A. User Content and Scraping You retain all ownership rights in any text, images, video assets, brand voice profile samples, and URLs you upload or input into the Platform ("User Content").

  • Scraping Warranty: When you input a URL into our scraping tools, you represent, warrant, and covenant that you have the full legal right, license, or permission to access and scrape the content of that target URL, and that such action does not violate target website terms of service, local laws, or third-party copyrights.
  • License Grant: By uploading User Content, you grant Infodoor a worldwide, royalty-free, non-exclusive license to host, store, transfer, display, and process your User Content solely for the purpose of providing and improving the Services.

B. AI-Generated Outputs * Subject to your compliance with these Terms, Infodoor assigns to you all of its right, title, and interest (if any) in and to the text, scripts, and video campaigns generated by the platform in response to your prompts ("Outputs"). * AI Characteristics: You acknowledge that Outputs are generated by Google Generative AI (Gemini API). Due to the nature of machine learning, Outputs may not be unique, and other users of the Services or Google's APIs may generate similar content. * Accuracy and Review: You are solely responsible for reviewing and verifying the accuracy, appropriateness, and compliance with applicable laws of all Outputs before publishing, distributing, or otherwise using them. Infodoor makes no guarantees regarding the factual accuracy or legal compliance of AI-generated content. * Search Engine & SEO Disclaimer: Infodoor does not guarantee that Outputs will improve search engine rankings (SEO), and we assume no liability for search engine indexing issues, penalties, algorithm updates, or drops in web traffic resulting from your use of AI-generated or scraped content.

5. Acceptable Use and Restrictions

You agree that you will not use the Services for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:

  • Abuse Scraping Capabilities: Use the URL scraping feature of BusyUp to scrape private or restricted web pages, scrape targets in violation of their robots.txt or terms of service, or initiate Server-Side Request Forgery (SSRF) attacks or bypass network security controls.
  • Generate Prohibited Content: Input prompts or generate outputs that are illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially or ethnically objectionable.
  • Infringe Intellectual Property: Upload User Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Reverse Engineer: Attempt to reverse engineer, decompile, or extract the source code of the BusyUp platform, its rendering pipelines, or the underlying AI APIs.
  • Exceed Usage Limits: Interfere with or disrupt the integrity or performance of the Services, including attempting to bypass credit limits, rate limits, or security controls.

6. Disclaimers of Warranties

THE SERVICES AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, INFODOOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND FREEDOM FROM ERROR OR SERVICE INTERRUPTION.

INFODOOR DOES NOT WARRANT THAT THE AI-GENERATED OUTPUTS WILL BE ERROR-FREE, FACTUALLY ACCURATE, COMPLETE, SECURE, OR SUITABLE FOR YOUR PARTICULAR MARKETING, LEGAL, OR BUSINESS NEEDS.

7. Limitation of Liability and Personal Liability Waiver

A. General Limitation TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INFODOOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH (I) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES; (II) ANY OUTPUTS GENERATED BY THE SERVICES; OR (III) ANY USER CONTENT OR THIRD-PARTY SITES ACCESSED VIA SCRAPING OR LINKS. IN NO EVENT SHALL INFODOOR'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED FIFTY CANADIAN DOLLARS ($50 CAD) IN THE AGGREGATE.

B. Personal Liability Waiver YOU EXPLICITLY AGREE THAT THE SERVICES ARE PROVIDED SOLELY BY INFODOOR AS A BUSINESS ENTITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE NOT TO BRING ANY CLAIMS, LAWSUITS, OR DEMANDS PERSONALLY AGAINST ANY INDIVIDUAL OWNER, PARTNER, DIRECTOR, OFFICER, EMPLOYEE, AGENT, REPRESENTATIVE, CONTRACTOR, OR ASSIGN OF INFODOOR. ALL ACTIONS MUST BE BROUGHT EXCLUSIVELY AGAINST INFODOOR, SUBJECT TO THE LIABILITY LIMITATIONS SET FORTH HEREIN.

8. Indemnification

You agree to defend, indemnify, and hold harmless Infodoor and its individual owners, partners, directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, expenses, and regulatory actions (including reasonable legal and accounting fees) arising out of or in any way connected with (i) your access to or use of the Services, (ii) your User Content (including scraping of target URLs), (iii) your violation of these Terms, or (iv) your publication, distribution, commercialization, or use of any AI-generated Outputs.

9. Dispute Resolution, Class Action Waiver, and Jury Trial Waiver

A. Governing Law These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the provincial or federal courts located in Toronto, Ontario, Canada.

B. Class Action Waiver TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND INFODOOR AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS-ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS.

C. Jury Trial Waiver YOU AND INFODOOR HEREBY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A JURY TRIAL IN ANY LAWSUIT ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

D. Statute of Limitations ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

10. Termination

We reserve the right to suspend or terminate your account and access to the Services, at our sole discretion, without notice or liability, for conduct that we believe violates these Terms, is harmful to other users or the platform, or is otherwise unlawful. Upon termination, your right to use the Services will immediately cease, and any unused credits will be forfeited without refund.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
